Underground Graphics Lab Terms

Purchasing this project means that you agree to the following terms:

This Independent Contractor Agreement (“Agreement”) is entered into between Deanna Seymour, doing business as dd studios, LLC (“Provider”), and you (“Client”). By purchasing, you acknowledge that you have read and agree to the scope of work, timelines, and all terms outlined in this Agreement effective as of the date of your purchase.

Project Options and Deliverables
A flexible design subscription for content creators who want bold, professional graphics without the big-agency price tag or long timelines.

• $500 for 20 credits (each credit = 1 graphic).
• Choose your platform (LinkedIn, Instagram, Substack, or YouTube). You can select up to 2 during onboarding.
• Standard turnaround: up to 5 graphics within 5 business days.
• Larger requests may be delivered in chunks depending on Lab volume.
• Credits expire 90 days after purchase.
• Holiday blackout: Dec 15 – Jan 6.
• Revisions not included (unless it’s a typo). A new version requires an additional credit.

1. GETTING STARTED
1.1 Onboarding
By purchasing this project, you (“Client”) and Deanna Seymour, doing business as dd studios, LLC (“Provider”), agree to the project scope as described in the project you are purchasing. After purchase, you will receive an onboarding form to submit your brand details (colors, fonts, logos, etc.) and select your two chosen platforms. This form must be completed before any design work can begin.

1.2 Start Date
There is no formal project start date. Instead, your Lab access begins the day of purchase, and you may begin submitting design requests immediately using the designated Google Doc request form.

1.3 Delivery
The standard turnaround time is up to 5 business days for requests of 5 graphics or fewer. Larger batches may be delivered in parts depending on Lab volume. Completed graphics will be delivered digitally via Google Drive.

1.4 Staying on Track
To keep the Lab workflow moving smoothly, requests must be submitted through the designated Google Doc form. Random emails or DMs will not be accepted. Revisions are not included (unless correcting an error made by the Provider). A new version of a graphic requires the use of an additional credit.

1.5 Credit Expiration
Credits must be used within 90 days of purchase. Unused credits will expire and cannot be refunded or rolled over.

1.6 Office Hours and Client Communication
The Provider’s regular working hours are Monday to Friday, 9 a.m. to 2 p.m. ET, excluding major U.S. holidays and the following blackout dates: November 24–28 and December 22–January 2.

Communication outside of Graphics Submissions will take place primarily through email. The Provider will respond as quickly as possible during working hours, but please allow up to 24 hours for a reply.

2. STATEMENT OF WORK
2.1 Deliverables
The Provider will create the graphics you request using the credits you’ve purchased. Standard turnaround is 5 business days for requests of 5 graphics or fewer. If you submit more than 5 at once, the Provider may deliver them in smaller chunks to keep the Lab running smoothly.

2.2 Logistics & Guidelines
Expiration: Credits expire 90 days from purchase. Use ’em or lose ’em.
Submission System: All requests must go through the designated Google Doc form. Random emails, DMs, or Voxer messages won’t be accepted.
Revisions: Revisions are not included unless the Provider makes a typo or error. Any alternate version or new direction will count as +1 credit.

3. PRICING AND PAYMENT TERMS
3.1 Lab Fee
Enrollment in the Underground Graphics Lab is a flat fee of $500 per project. Full payment is required at the time of purchase. Third-party payment plan options (such as Afterpay or Klarna) may be available through Thrivecart at checkout, but these are handled directly by those providers and not by the Provider.

3.2 Payment Platform
All payments are processed securely through Thrivecart. By completing your purchase, you agree to the payment terms outlined in section 5.

4. USAGE RIGHTS AND TERMS: The Provider grants the Client—and, if applicable, the Client’s designated project clients—usage rights as described below, upon full payment for services rendered.

4.1 Client Usage Rights: The Client retains the right to use and reuse all deliverables received as they see fit.

4.2 Publicity: The Client agrees that the Provider may name the Client and showcase work created by the Provider on www.deannaseymour.com and related social media channels.

4.3 Responsibility for Results: Upon delivery of the work, the Client releases the Provider from any responsibility for outcomes resulting from the Client’s or their clients’ use or maintenance of the deliverables.

4.4 Disputes: Any disputes arising from this Agreement shall be governed by the laws of the Commonwealth of Virginia, United States of America.

5. INDEPENDENT CONTRACTOR RELATIONSHIP:
Contractor’s relationship with Client is that of an independent contractor. Nothing in this Agreement shall be construed to create a partnership, agency, joint venture, or employment relationship.

No portion of Contractor’s compensation will be subject to withholding for Social Security, federal, state, or any other payroll taxes by Client. Client will report payments made to Contractor by filing Form 1099 with the Internal Revenue Service as required by law.

Contractor acts as an independent contractor and is not entitled to unemployment insurance benefits, workers’ compensation benefits, pension, bonus, or other fringe benefits from Client. Contractor is responsible for paying all applicable national, federal, and state income taxes, Social Security taxes, and any other amounts required by law related to payments received under this Agreement.

6. REPRESENTATIONS
6.1 Authority
Each party represents and warrants that it has full power and authority to enter into and perform this Agreement on behalf of its respective business entity.

6.2 Status
This Agreement establishes an independent contractor relationship between the Provider and Client. The Provider is not an employee, partner, joint venturer, or agent of the Client and is providing defined services as an independent contractor.
