Design Projects Contract

Purchasing this project means that you agree to the following terms:

This Independent Contractor Agreement (“Agreement”) is entered into between Deanna Seymour, doing business as dd studios, LLC (“Provider”), and you (“Client”). By purchasing, you acknowledge that you have read and agree to the scope of work, timelines, and all terms outlined in this Agreement for the product you purchased effective as of the date of your purchase.

A simple logo type, a curated color palette, selected fonts (headline, accent, and body copy), and mood-inspiring photography direction to capture your unique vibe and guide your consistent branding.

Custom Static 9 Grid Design
Nine professionally designed Instagram grid graphics forming a cohesive visual story that introduces you, showcases offers, and drives engagement.

Static 9 Grid Strategy Session
A detailed Instagram 9-grid content blueprint including post-by-post strategy, caption outlines, design direction, and a clear content flow plan.

Three custom-designed pinned Instagram posts with strategic captions to introduce your brand and convert visitors into followers.

Substack Art Collection (9-Pack)
Nine custom artistic images designed to elevate your newsletter or writing platform with a cohesive, mood-driven aesthetic.

Four custom Canva templates designed for your chosen platform (e.g., Instagram posts, LinkedIn carousels, YouTube thumbnails, podcast covers) to create cohesive, polished graphics quickly.

Podcast Visual Package
A custom podcast cover optimized for all platforms plus a Canva template for promoting episodes on social media.

Find the Fun Strategy Session
A 60 deep-dive business strategy session focused on identifying joyful, sustainable business practices and creating an actionable plan. Recording of session and action plan will be delivered after our session.

1. GETTING STARTED
1.1 Onboarding: By purchasing this project, you (“Client”) and Deanna Seymour, doing business as dd studios, LLC (“Provider”), agree to the project scope as described in the project you are purchasing.

1.2 Start Date: After you complete your purchase, you’ll receive a calendar link to choose your project start date. This date begins the 14-business-day timeframe for project completion. Please note: selecting this date does not necessarily mean the Provider will begin work on that exact day.

1.3 Delivery: Your completed deliverables will be provided digitally via Google Drive. The estimated turnaround time is 14 business days for each project purchased. If you purchase more than one project, please allow 14 business days per project to calculate your total delivery timeframe.

1.4 Staying on Track: To keep your project moving smoothly, both of us agree to respond promptly. You (“Client”) agree to provide feedback or approvals within 48 hours of receiving designs or revisions. If no feedback is received in that timeframe, the deliverable will be considered approved so we can stay on schedule. Changes requested after the 48-hour window will be billed at $150 per hour.

1.5 Project Expiration: Your project must be completed within 14 business days from your chosen start date, unless we agree in writing to extend the timeline. If the project is not finalized by then due to delays or lack of response from you (“Client”), it will be considered closed. If you want to reopen the project after this expiration date, additional work will be billed at $150 per hour, with a minimum charge of 2 hours to resume.

1:6 Office Hours and Client Communication. The Provider’s regular working hours are Monday to Friday, 8 a.m. to 2 p.m. EST, excluding major U.S. holidays. Communication between Client and Provider will be primarily through email and Voxer messaging. The Provider will respond as quickly as possible during working hours, but please allow up to 24 hours for a reply.

2. STATEMENT OF WORK
2.1 Deliverables Created by Provider: The Provider agrees to complete the deliverables outlined in the selected project option above according to the turnaround time described in section 1.3.

2.2 Revisions: Each project includes one round of revisions. Additional revision requests beyond the included round will be billed at $150 per hour.

3. PRICING AND PAYMENT TERMS
3.1 Project Fee: The projects are offered at fixed prices: $750 for one project, $1000 for two projects, $1500 for three projects, and $2000 for four projects. Full payment is required at the time of purchase. If you’re interested in payment plans, third-party options such as Afterpay and Klarna may be available through the checkout platform, Thrivecart, for your convenience.

3.2 Payment Platform: Payment is processed securely through Thrivecart at the time of purchase. By completing payment, you agree to the payment terms outlined in section 5.

4. USAGE RIGHTS AND TERMS: The Provider grants the Client—and, if applicable, the Client’s designated project clients—usage rights as described below, upon full payment for services rendered.

4.1 Client Usage Rights: The Client retains the right to use and reuse all deliverables received as they see fit.

4.2 Publicity: The Client agrees that the Provider may name the Client and showcase work created by the Provider on www.deannaseymour.com and related social media channels.

4.3 Responsibility for Results: Upon delivery of the work, the Client releases the Provider from any responsibility for outcomes resulting from the Client’s or their clients’ use or maintenance of the deliverables.

4.4 Disputes: Any disputes arising from this Agreement shall be governed by the laws of the Commonwealth of Virginia, United States of America.

5. INDEPENDENT CONTRACTOR RELATIONSHIP:
Contractor’s relationship with Client is that of an independent contractor. Nothing in this Agreement shall be construed to create a partnership, agency, joint venture, or employment relationship.

No portion of Contractor’s compensation will be subject to withholding for Social Security, federal, state, or any other payroll taxes by Client. Client will report payments made to Contractor by filing Form 1099 with the Internal Revenue Service as required by law.

Contractor acts as an independent contractor and is not entitled to unemployment insurance benefits, workers’ compensation benefits, pension, bonus, or other fringe benefits from Client. Contractor is responsible for paying all applicable national, federal, and state income taxes, Social Security taxes, and any other amounts required by law related to payments received under this Agreement.

6. REPRESENTATIONS
6.1 Authorizations
Each party represents and warrants that they have the authority to enter into and execute this Agreement on behalf of their respective business entities.

6.2 Status
This Agreement establishes an independent contractor relationship between the Provider and Client. The Provider is an independent contractor providing defined services and is not an employee, partner, or agent of the Client.
